CODE OF CONDUCT & PARTICIPANT AGREEMENT

This Code of Conduct & Participant Agreement (hereinafter referred to as "this Agreement") is entered into by and between Florida Explorers Association, Inc. (hereinafter referred to as "Florida Explorers" or "the Organization"), a nonprofit educational organization, and the undersigned parent, legal guardian, or adult participant (hereinafter referred to as "Participant" or "Family"), collectively referred to as "the Parties."

Effective Date: July 7, 2025

Recitals

WHEREAS, Florida Explorers provides enriching, hands-on educational experiences through expert-led, curriculum-aligned programs for homeschool families and the broader community; and

WHEREAS, the Organization requires all participating families and individuals to agree to and abide by certain standards of conduct as a condition of membership and participation in any and all events, programs, and activities; and

WHEREAS, the Participant desires to register for and participate in Florida Explorers programs, events, and activities and agrees to be bound by the terms of this Agreement;

NOW, THEREFORE, in consideration of the mutual promises, covenants, and conditions set forth herein, and in consideration of the Organization's agreement to permit Participant and Participant's minor child(ren) to participate in Florida Explorers programs, events, and activities — the sufficiency of which consideration is hereby acknowledged by both Parties — the Parties agree as follows:

1. Scope & Applicability

This Agreement is a continuing and binding contract that applies to all current and future activities, programs, events, field trips, field experiences, academic adventures, workshops, unit studies, book clubs, special events, social gatherings, volunteer activities, and any other activities hosted, organized, coordinated, facilitated, or sponsored by Florida Explorers Association, Inc. in which the Participant or the Participant's minor child(ren) participate. It is not necessary to sign a new agreement for each individual activity.

By signing this Agreement and by registering for any Florida Explorers program or event, the Participant agrees that they have read this Code of Conduct in its entirety with their children and that all participating family members understand and will comply with the standards set forth herein. All participants — including students, parents, guardians, and accompanying family members — are expected to conduct themselves in accordance with this Agreement at all times.

2. Core Values, Beliefs & Respect

Florida Explorers is a Pro-American, Pro American Constitution organization. We are NOT a secular homeschool group. As an organization, we warmly welcome all families who can respect our beliefs and adhere to this Code of Conduct. Participants will discover that our values, character, and moral principles are intricately woven into our programs.

6. Administrative Responsibilities

The Participant is responsible for fulfilling all administrative obligations associated with participation. This includes but is not limited to:

Failure to fulfill administrative responsibilities — including but not limited to late payments or incomplete registrations — is not the responsibility of Florida Explorers Association, Inc. and may result in the assessment of administrative fees, loss of reserved placement, or inability to participate in scheduled events. The Participant agrees to bear all costs and consequences arising from the failure to meet these obligations.

Florida Explorers welcomes siblings at many of its events and activities; however, the Participant agrees to the following conditions:

10. Indemnification

The Participant agrees to indemnify, defend, and hold harmless Florida Explorers Association, Inc., its Board of Trustees, officers, directors, employees, representatives, agents, volunteers, instructors, teachers, educators, contractors, hosts, partners, and any affiliated persons or entities from and against any and all claims, judgments, settlements, losses, liabilities, damages, costs, and expenses — including but not limited to court costs, attorney fees, and legal expenses at both the trial and appellate levels — arising from or related to: (a) any breach of this Agreement by the Participant or the Participant's family members; (b) any negligent, reckless, or deliberate act or omission on the part of the Participant or the Participant's minor child(ren); or (c) any property damage caused by the Participant or the Participant's family members.

11. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Florida.

12. Dispute Resolution

In the event of any dispute arising out of or related to this Agreement, the Parties agree to first attempt resolution through good-faith mediation before pursuing any other remedies. Any mediation or legal proceedings shall take place in the State of Florida. The prevailing party in any legal action arising under this Agreement shall be entitled to recover reasonable attorney fees, court costs, and all related expenses from the non-prevailing party.

13. Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such finding shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the Parties.

14. Waiver

The failure of either Party to enforce any provision of this Agreement shall not constitute a waiver of that Party's right to enforce that provision or any other provision in the future. No waiver of any provision of this Agreement shall be effective unless made in writing and signed by an authorized representative of the waiving Party.

15. Amendment

Florida Explorers reserves the right to amend, modify, or update this Agreement at any time. The Participant will be notified of any material changes in writing or by electronic communication. Continued participation in Florida Explorers programs and events following notification of any amendment shall constitute acceptance of the revised terms. This Agreement may not otherwise be modified except in writing signed by both Parties.

16. Entire Agreement

This Agreement, together with the Release of Liability, Waiver of Claims, Express Assumption of Risks, Covenant Not to Sue, and Hold Harmless Agreement executed by the Participant, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, negotiations, or representations, whether written or oral, relating to the Participant's conduct and obligations as a member of Florida Explorers.

17. Acknowledgment, Voluntary Execution & Signature

In signing this Agreement, I, the undersigned, acknowledge and represent that:

I HAVE READ THIS AGREEMENT IN ITS ENTIRETY. I UNDERSTAND THAT THIS IS A LEGALLY BINDING CONTRACT. I UNDERSTAND THAT FAILURE TO COMPLY WITH THE TERMS HEREIN WILL RESULT IN IMMEDIATE TERMINATION OF MEMBERSHIP WITHOUT REFUND. I VOLUNTARILY AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS SET FORTH HEREIN.

IMPORTANT NOTICE: This document is a legally binding contract between the undersigned and Florida Explorers Association, Inc. It is strongly recommended that you read it carefully before signing. By signing, you acknowledge that you understand and agree to all terms contained herein. This Agreement is a continuing agreement that applies to all current and future Florida Explorers Association activities in which you or your minor child(ren) participate.
